We are seeking an experienced, highly-skilled paralegal in our Houston office to provide support to the Chief Legal Officer, Corporate Secretary, and other Legal Department attorneys. This position will primarily focus on corporate governance and board matters, securities regulatory compliance, stakeholder relations, and subsidiary maintenance work. This position will also provide support on corporate finance and acquisition & disposition (A&D) transactions and will provide administrative assistance to the Corporate Secretary and other Legal Department attorneys. The role will require exceptional organizational skills and a strong understanding of board governance and public securities compliance and related regulations and policies.
Job Duties and Responsibilities:
  • Support Corporate Secretary and other Legal Department attorneys on preparation of materials for board and committee meetings and coordinating meetings, including drafting correspondence, resolutions, written consents, agendas, presentations, and minutes (including related research).
  • Assist in preparation for annual meeting of stockholders, including drafting of annual meeting documents and coordinating set-up for the annual meeting.
  • Assist in project management of the proxy statement, including establishing a calendar, preparing annual director and officer questionnaires, gathering information for proxy statement updates (including related research) and filing the proxy statement with the Securities and Exchange Commission (SEC).
  • Serve as primary contact and administrator for the Company's electronic board portal (Diligent) and electronic proxy statement management system.
  • Assist lead securities attorney and Corporate Secretary with preparation of disclosures for periodic SEC filings (including related research).
  • Organize and maintain shareholder communications and information related to investor voting policies.
  • Support the organization and maintenance of all EOG subsidiaries with direction from, and collaboration with, Corporate Secretary and other Legal Department attorneys, including through use of the Company's entity tracking system.
  • Collaborate and support Trinidad Legal Team on Trinidadian subsidiary maintenance efforts.
  • Coordinate the collection and organization of Company and third-party documents and information and preparation of various documents in connection with corporate finance and A&D business transactions and regulatory matters.
  • Review, analyze and summarize documents and information.
  • Prepare correspondence, reports, presentation materials, spreadsheets, initial drafts of contracts and other documents.
  • Coordinate legal research projects with EOG Legal attorneys and outside legal counsel, including with respect to corporate governance updates and SEC and New York Stock Exchange (NYSE) developments.
  • Organize and maintain files, including corporate data sheets and minute books for parent company and subsidiaries.
  • Monitor and communicate critical dates for projects, board-related matters, and regulatory matters (including SEC and NYSE filings), and assist with preparation and maintenance of related calendars and action item lists.
  • Coordinate meetings, schedules and travel arrangements.
  • Assist attorneys, legal assistants and executive secretaries with processing of invoices.
  • Acquire a basic understanding of EOG's business, including the functions of Company departments.
  • Be creative in developing efficiencies within the Legal Department.
  • Be resourceful in accomplishing work tasks and obtaining needed information.


JOB REQUIREMENTS

  • 7 years minimum legal support experience.
  • Paralegal certificate from ABA-approved legal assistant training program is required.
  • High school diploma or GED is required; Bachelor's degree is preferred.
  • Advanced working knowledge in Microsoft Word and proficient in the use of Microsoft Excel and PowerPoint, Westlaw or Lexis and email.
  • Ability to serve as administrator of electronic systems related to job duties and responsibilities.
  • Excellent written and verbal communication skills.
  • Ability to prepare correspondence and other documents with a high level of accuracy and attention to detail.
  • Ability to handle multiple tasks and efficiently prioritize work to meet deadlines with minimal supervision.
  • Flexibility in dealing with changing work assignments and priorities.
  • Ability to maintain the confidentiality of information.
  • Strong interpersonal skills: interacts with others in a courteous, helpful and friendly manner, a team player who works effectively with others at all levels and in all disciplines in a team environment.
Position will be filled at a level commensurate with experience.
