The Associate Attorney will provide legal support to Bracco Medical Technologies' (BMT) cardiovascular and diagnostic imaging businesses and their affiliated entities, with a primary focus on operations within the United States. This role requires a proactive, adaptable attorney capable of independently managing a diverse portfolio of legal matters in a fast-paced, highly regulated environment.

The ideal candidate will demonstrate sound legal judgment and the ability to identify and assess complex legal issues across a broad range of topics, with particular emphasis on commercial contracting and legal research and analysis. This position requires a collaborative mindset and strong interpersonal skills to effectively partner with internal business units and external stakeholders. The Associate Counsel must be a self-starter with a strong desire to learn, take initiative, and deliver high-quality legal support that aligns with business objectives while mitigating risk and upholding the company's ethical and regulatory standards.

Primary Duties & Responsibilities:

50% - Contracting

  • Draft, review, and negotiate a wide range of complex commercial agreements, including but not limited to marketing, rebate, master service, and sales agreements, with a focus on compliance and risk mitigation in the healthcare and medical device sectors.

  • Serve as an initial legal escalation point for contract-related inquiries, providing strategic guidance to paralegals and contract managers to facilitate timely and compliant agreement execution.

  • Deliver high-quality, solution-oriented legal advice to cross-functional teams, acting as a trusted advisor who balances legal risk with business objectives while upholding the company's integrity and reputation.

  • Prepare contract summaries, memoranda, and revisions that clearly outline key terms, obligations, and risk considerations for internal stakeholders.

  • Proactively engage with internal business partners to understand operational needs and develop tailored contractual solutions that support strategic goals.

  • Identify and escalate complex or high-risk contractual provisions to senior or general counsel, ensuring appropriate legal oversight.

  • Provide post-execution legal support, including interpretation of contract terms, guidance on performance obligations, and assistance with enforcement or dispute resolution as needed.

20% - Legal Research & Analysis

  • Conduct in-depth legal research and analysis on complex issues related to pharmaceutical and medical device laws, including emerging legal trends, regulatory developments, and relevant case law, to support informed legal counsel and risk assessment.

10% - Marketing Review

  • Conduct detailed legal reviews of promotional and marketing materials to ensure compliance with applicable regulatory requirements, including FDA and FTC regulations, as well as internal company policies and industry codes.

  • Collaborate with regulatory, clinical, and marketing teams to evaluate a broad spectrum of promotional content, providing timely, practical legal advice that supports business objectives while mitigating risk.

  • Deliver clear, concise verbal and written legal guidance on marketing initiatives, ensuring alignment with legal and regulatory standards.

  • Review a variety of materials, including social media content, healthcare professional (HCP) presentations, digital and print advertisements, and patient-facing communications.

  • Participate in promotional review committees or cross-functional review processes, contributing legal insight to support compliant and effective marketing strategies.

10% - Legal Guidance & Cross Functional Support

  • Proactively respond to inquiries from internal business partners by providing clear, practical legal guidance and identifying additional information needed to address outstanding legal or compliance matters.

  • Draft and respond to legal correspondence, including communications with third-party customers, as appropriate.

  • Advise internal stakeholders across various business units on a range of legal issues, including contractual terms, transactional matters, and general corporate governance, ensuring alignment with applicable laws and company policies.

5% - Contract Management & Process Improvement

  • Collaborate with paralegals to ensure internal contract templates and documentation are accurate, current, and well-maintained in accordance with applicable laws and affiliate requirements.

  • Support the development and implementation of a contract review schedule to ensure timely updates to standard templates and compliance with evolving legal and regulatory standards.

  • Identify opportunities to enhance contract management processes and propose practical, legally sound improvements to streamline workflows and support business efficiency.

5% - Additional Legal Projects

  • Assist the General Counsel or Senior Corporate Counsel with other projects as assigned.

Qualifications (Knowledge, Skills & Abilities):

Minimum

  • 3-5 years of experience as a licensed attorney in a law firm, government or corporate environment.

  • Prior experience and/or familiarity with medical device, pharmaceutical and/or healthcare industries.

  • J.D. and current admission in good standing to the Bar in the state of Minnesota and remain in good standing.

  • Demonstrated ability to independently draft, review, redline, and negotiate a wide range of commercial agreements, including but not limited to: Distribution and transactional agreements, commercial and sales contracts, clinical trial agreements and pharmaceutical rebate agreements

  • Strong oral and written communication skills, with the ability to convey complex legal concepts clearly and effectively to diverse stakeholders.

  • Proven ability to build trust and credibility across cross-functional teams, including global business units with competing priorities.

  • Track record of managing legal projects from inception to completion, consistently meeting deadlines and delivering high-quality work.

  • Skilled in identifying legal and business risks, conducting thorough legal research, and providing practical, solution-oriented advice in complex or ambiguous situations.

  • Adept at developing creative, commercially sound legal strategies that align with business objectives while ensuring compliance with applicable laws and regulations.

  • Ability to manage and resolve conflicts constructively, facilitating consensus and driving matters to resolution while maintaining strong internal and external relationships.

  • Exceptional analytical, organizational, and critical thinking skills.

  • Comfortable communicating with stakeholders, including senior leadership, operational teams, and external partners.

  • Self-starter with the ability to work independently under pressure, prioritize competing demands, and proactively identify and address legal and compliance risks.

  • Committed to maintaining the highest standards of confidentiality and professional ethics, particularly when handling sensitive or proprietary information

Preferred:

  • Proven ability to lead, motivate, and collaborate effectively with cross-functional teams to achieve strategic legal and business outcomes.

  • Strong judgment in distinguishing between legal advice and business guidance, with the ability to clearly communicate both to internal stakeholders.

  • In-depth knowledge of laws and regulations applicable to global pharmaceutical and medical device companies, including: Commercial and contract law, U.S. Fraud and Abuse Laws (e.g., Anti-Kickback Statute, False Claims Act), Foreign Corrupt Practices Act (FCPA), FDA regulatory frameworks, Global privacy and data protection laws (e.g., GDPR, HIPAA), Advertising and promotional regulations, Industry codes such as IFPMA and EFPIA, including rules governing interactions with healthcare professionals

  • Experience reviewing and advising on marketing, promotional, and educational materials in the medical device, pharmaceutical, or broader healthcare sectors.

  • Familiarity with legal and regulatory considerations related to rebate agreements, supply chain operations, and commercial distribution models.

Other:

  • Mental demands - work is meticulous, often with multiple priorities. The environment is deadline sensitive, and individual may be exposed to high-pressure situations.

Compensation & Total Rewards:

Estimated Starting Salary Range: $159,000 - $172,000

*Estimated Starting Salary Range is reflective of the range Bracco Medical Technologies reasonably expects to pay for the position. The range provided is based on salary and market data specific to the position.
