Job Summary: The General Counsel will serve as the chief legal advisor for our engineering and consulting firm, providing strategic legal guidance to the executive team and overseeing all legal matters. This role involves managing a broad range of corporate legal issues, ensuring compliance with laws and regulations, and mitigating legal risks to support the company's growth and operations. The role is an Executive Committee role alongside CEO, CFO, CHRO, CSRO, and COO (vacant).

Key Responsibilities:



  • Legal Strategy and Compliance:

    • Advise the executive team on legal matters, including new and existing laws, regulations, and legal rights.
    • Develop and implement legal strategies to protect the company's interests.
    • Ensure compliance with all relevant laws and regulations, including environmental, safety, and employment laws.


  • Contract Management:

    • Oversee the management of all company contracts and legal documents
    • Own and enforce the authority matrix including who can sign for what in terms of client contracts, vendor contracts, partnership agreements, and other instruments that commit the resources of the firm.


  • Risk Management:

    • Oversee the company's risk management policy and practices
    • Identify and mitigate legal risks associated with the company's operations, projects, proposals and bids.
    • Manage litigation (including employment matters) and disputes, working with outside counsel as necessary.
    • Oversee work performed by outside counsel and insurance advisors engaged by the company.
    • Manage the insurance program and claims process, working with Apex's insurance broker.


  • Corporate Governance:

    • Maintain corporate records and ensure compliance with corporate governance requirements.
    • Manage the company's shareholding records in liaison with private equity investors and finance.
    • Advise on matters related to mergers and acquisitions, joint ventures, and other strategic transactions.


  • Team Leadership:

    • Lead and mentor the contracts management and legal team, fostering a collaborative and high-performance culture.
    • Provide training and guidance to staff on contracting matters, legal issues, and compliance matters.




Qualifications:



  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the state bar and in good standing.
  • Minimum of 10 years of legal experience, with at least 5 years in a senior legal role within an engineering or consulting firm.
  • Strong knowledge of corporate law, contract law, and regulatory compliance.
  • Excellent negotiation, communication, and leadership skills.
  • Ability to work effectively in a fast-paced and dynamic environment.


Preferred Qualifications:



  • Experience with environmental and safety regulations
  • Direct work experience in the AEC industry
  • Background in managing legal aspects of large-scale engineering projects.
  • Proven track record of successfully managing complex legal matters and litigation.
